Scally Architects

Terms of Service

Scally Architects Client Portal · Effective August 25, 2026 · Version 2026-08-25

These terms govern use of the client portal operated by Scally Design + Construct, doing business as Scally Architects ("Scally," "we," "us"). They apply to everyone who signs in — the firm's own staff and the clients, owners, and representatives invited to a project. Accepting them is a condition of access. They cover the portal itself; they are not the agreement for architectural or interior design services, which is the signed proposal for your project.

  1. The Signed Proposal Controls

If anything in these terms conflicts with a proposal or services agreement you have signed with Scally, the signed agreement governs the services, fees, scope, schedule, and deliverables it describes. These terms govern only the operation and use of the portal.

Nothing here modifies, extends, or replaces a signed agreement, and nothing in the portal — a timeline date, a billing row, an uploaded drawing — changes what that agreement says.

  2. Accounts and Access

The portal is invitation-only. Accounts are created by Scally, one per person, tied to the email address the invitation was sent to. There is no public sign-up and no self-service account creation.

Access to a project is granted per person. You may see only the projects you have been added to, and access ends when Scally removes you, when the firm passes on a project, or when the engagement closes.

  3. Sign-In Codes and Account Security

Signing in sends a single-use six-digit code to your email address. That code, and the session it creates, are how the portal knows who you are — treat them the way you would treat a password.

    You agree to:

    • Keep your email account secure, since anyone who can read your email can request a code and sign in as you
    • Not share codes, forward sign-in links, or let another person use your account
    • Sign out on shared or public computers
    • Tell us at contact@scallyarchitects.com promptly if you believe someone else has reached your account

Actions taken through your account are treated as taken by you.

  4. What the Portal Is For

The portal is a working space for a live project. Depending on what your project uses, it may hold your project questionnaire, the project timeline, the team directory, drawings and other documents, billing history and invoices, and proposals for review and signature.

It is a convenience, not a system of record. Scally does not guarantee uninterrupted availability, and the portal may be unavailable for maintenance, provider outages, or reasons outside the firm's control. Keep your own copies of documents that matter to you — see Retention below.

  5. Your Information and Uploads

You keep ownership of the information and files you provide: questionnaire answers, photographs, surveys, existing drawings, and anything else you upload or send for the project.

By providing them, you grant Scally permission to store, reproduce, and use them as needed to perform the services for your project, including sharing them with consultants and contractors working on that project.

You confirm that you have the right to provide what you upload — including anything prepared by a previous architect, designer, surveyor, or photographer — and that doing so does not breach someone else's copyright or agreement.

  6. The Firm's Documents

Drawings, renderings, specifications, and design documents prepared by Scally Design + Construct remain the intellectual property of the firm and are protected under U.S. copyright law, whether you receive them in the portal or anywhere else.

Downloading a document from the portal grants no license beyond the one in your signed agreement — ordinarily a limited license to use the documents for construction of your project alone. Do not reuse them on another project, transfer them to another architect, or publish them without written consent.

Project photography on the portal and on the public site is likewise the firm's, and right-click saving is disabled on it for that reason.

  7. Confidentiality

    The obligation runs both ways.

Scally will not disclose your confidential project information — addresses, security details, budgets, or personal identifying information — outside the project team without your consent, except where the law requires it. The firm's marketing and photography rights are the ones set out in your signed agreement, and nothing more.

You agree not to share pricing, unpublished drawings, or other non-public material from the portal outside the people working on your project.

  8. Electronic Signatures and Records

Proposals may be signed in the portal. By accepting these terms you consent to do business electronically and agree that an electronic signature is as binding as a handwritten one, under the federal ESIGN Act and the Alabama Uniform Electronic Transactions Act.

When you sign, the portal records the name you type, the date and time, your IP address and browser, and a cryptographic fingerprint of the exact document you signed. A signed proposal is locked: it cannot afterwards be edited, withdrawn, or deleted, and deleting the project it belongs to is refused while it exists.

Once the last signer has signed, everyone on the project and the firm are emailed a confirmation linking to the locked copy, which stays readable in the portal for as long as you have access to the project.

You may ask for a paper copy of anything you sign, and you may decline to sign electronically — email contact@scallyarchitects.com to arrange it. Doing so does not affect your access to the rest of the portal.

  9. Acceptable Use

While using the portal, do not:

    • Attempt to reach a project, document, or account that is not yours
    • Probe, scan, or test the security of the portal, or interfere with its operation
    • Upload malware, or files you know to be harmful
    • Scrape or bulk-download the site's project imagery
    • Use the portal to harass anyone or to break the law

Scally may suspend access immediately if it believes any of these is happening.

  10. Retention and Your Copies

Scally keeps project records for as long as the engagement is active and for a reasonable period afterwards, consistent with the firm's professional and legal obligations. Portal access, however, ends when your engagement closes or the firm passes on the project.

Download anything you want to keep before then. The portal is not an archive or a backup service, and Scally is not responsible for material you did not retain your own copy of. If you need something after your access has ended, ask us at contact@scallyarchitects.com: anything the firm still holds — a signed agreement above all — we will send you a copy of on request.

  11. Suspension and Termination

Scally may suspend or end portal access for any account, at any time, including when a project closes, when a person leaves a project, when invoices remain unpaid under the terms of a signed agreement, or when these terms are breached.

Losing portal access does not by itself terminate a signed services agreement, cancel an obligation to pay for services already performed, or undo a proposal you have already signed. Termination of the services agreement is governed by that agreement.

  12. Disclaimers

The portal is provided as-is. Scally makes no warranty that it will be available, error-free, or secure against every threat, and disclaims implied warranties of merchantability and fitness for a particular purpose to the extent the law allows.

This disclaimer covers the software only. It does not limit or qualify the professional standard of care owed for architectural and interior design services, which is set out in your signed agreement and by the law governing licensed practice.

  13. Limitation of Liability

To the fullest extent permitted by law, Scally is not liable for indirect, incidental, or consequential damages arising out of the use of the portal, including lost data or lost profits, and the firm's total liability arising from the portal itself is limited to one hundred dollars ($100).

This limit applies to the portal software alone. Liability for professional services is governed by your signed agreement, and nothing in this section limits liability that cannot be limited under Alabama law.

  14. Changes to These Terms

Scally may revise these terms. Each revision carries a version, and when the version changes you are asked to review and accept the new one the next time you use the portal.

The date and version of your acceptance are recorded on your account. Continuing to use the portal after accepting a revision means the revised terms apply to you from then on.

  15. Governing Law

These terms are governed by the laws of the State of Alabama, without regard to its conflict-of-laws rules. Any dispute arising out of the portal will be brought in the state or federal courts serving Madison County, Alabama, and both parties consent to that venue.
